SOURCING AGENT SERVICE AGREEMENT
This Sourcing Agent Agreement governs the relationship between the Overseas Principal and the China Sourcing Agent / Procurement Agency.
Article 1 Scope of Services
1.1 The Agent shall assist the Principal in supplier vetting, factory auditing, price negotiation, sample production monitoring, quality control, and logistics coordination in China.
Article 2 Agent’s Duties & Fiduciary Obligation
2.1 The Agent shall act in the best interests of the Principal, maintaining transparency and avoiding conflicts of interest (e.g., hidden kickbacks).
Article 3 Commission & Fees
3.1 The Principal shall pay the Agent a service commission of [%] based on the FOB value of goods purchased, or a fixed monthly retainer fee.
Article 4 Expenses
4.1 Travel expenses for factory visits outside the local base shall be reimbursed upon prior approval.
Article 5 Liability & Indemnity
5.1 The Agent shall not be held liable for manufacturer defaults unless caused by gross negligence or willful misconduct.
Article 6 Governing Law
6.1 Governed by the laws of the People’s Republic of China.
