MOULD AND TOOLING AGREEMENT
This Mould and Tooling Agreement governs the ownership, maintenance, and usage of production moulds created for manufacturing customized goods.
Article 1 Tooling Development & Cost
1.1 The Buyer agrees to pay tooling development costs totaling USD [Amount]. Upon full payment, the ownership of the moulds shall vest exclusively in the Buyer.
Article 2 Storage & Maintenance
2.1 The Manufacturer shall properly store, maintain, insure, and repair the moulds at its own expense during production life.
Article 3 Prohibition of Unauthorized Use
3.1 The Manufacturer shall not use the moulds to produce items for any third party without the express written consent of the Buyer.
Article 4 Inspection & Acceptance of Samples
4.1 Mould trial samples shall be submitted to the Buyer for approval before mass production begins.
Article 5 Return of Tooling
5.1 Upon termination of cooperation or request by the Buyer, the Manufacturer shall return or transfer the moulds to the Buyer promptly.
Article 6 Governing Law
6.1 Governed by PRC law.
