Lawyer Qiang Lyu explains civil fraud.

For an overseas buyer, the local business context can matter when dealing with a supplier in Yiwu. Yiwu is internationally known for its wholesale markets and export-oriented trading ecosystem. The commercial setting should be considered together with the actual contract, supplier identity, goods or services and evidence.

What is civil fraud? According to Article 148 of the Civil Code of the People’s Republic of China, If the defendant fabricates facts or intentionally conceals material facts, thereby causing losses to the plaintiff, the plaintiff may apply to an arbitration institution or a court for revocation within one year from the date the fraudulent act occurred.
If the defendant acted with the purpose of illegal possession from the very beginning, the conduct may constitute criminal fraud, in which case the plaintiff may report the case to the public security organ.
In addition, if the defendant is a business operator and the plaintiff is a consumer, the plaintiff may claim refund plus threefold compensation in accordance with the Consumer Rights and Interests Protection Law.

Local Commercial Context in Yiwu

Yiwu has business activity in wholesale goods, consumer products, small commodities and export trading. Depending on the transaction, buyers may encounter supplier identity problems, non-delivery, quality disputes, counterfeit-goods risks and payment fraud. For transactions involving Yiwu wholesalers and trading companies, buyers should pay particular attention to supplier identity, purchase orders, product specifications, payment records, inspection evidence and the distinction between a trading company and the actual manufacturer.

The city is in Zhejiang and has a highly concentrated wholesale and export-trading ecosystem used by overseas buyers. These facts can help explain the commercial background of a transaction, but a legal claim must still be assessed on its own contract, evidence and applicable law.

Next Steps for a Yiwu Supplier Dispute

Before escalating a dispute, an overseas buyer should identify the correct legal entity, review the contract and preserve the available evidence. Depending on the facts, the parties may consider direct negotiation, a formal demand, arbitration, litigation or enforcement.
