Latest Jurisdictional Rules of the Supreme People’s Court

For an overseas buyer, the local business context can matter when dealing with a supplier in Suzhou. Suzhou is one of China’s major manufacturing centers, particularly for electronics, machinery and advanced industrial production. The commercial setting should be considered together with the actual contract, supplier identity, goods or services and evidence.

Recently, the Supreme People’s Court issued a reply regarding jurisdiction. In fact, this reply reaffirms certain practices that have long been applied in judicial practice.

In practice, where a plaintiff initiates a lawsuit, only five locations may serve as the place of jurisdiction:

The domicile of the plaintiff;
The domicile of the defendant.
The place where the contract was concluded.
The place where the contract is performed;
The location of the subject matter.

If the plaintiff and defendant agree in their contract on a jurisdiction other than these five locations, such agreed jurisdiction shall be invalid. In other words, jurisdiction may only be exercised by a place that has an actual connection with the transaction between the parties.

Another key point of this reply is that it once again clarifies: if a contract provides for both court jurisdiction and arbitration jurisdiction — that is, if it simultaneously designates an arbitration commission for arbitration and a people’s court for litigation — the arbitration agreement shall be invalid, while the agreement on the place of litigation shall remain valid.

Local Commercial Context in Suzhou

Suzhou has business activity in electronics, machinery, precision manufacturing and industrial equipment. Depending on the transaction, buyers may encounter OEM disputes, specification disputes, quality claims, delivery delays and intellectual-property-related contractual disputes. For electronics, precision manufacturing and industrial-equipment transactions, buyers should pay particular attention to technical specifications, drawings, quality standards, acceptance procedures and intellectual-property provisions in the contract.

The city is in Jiangsu and has a highly developed manufacturing ecosystem with extensive foreign-invested and export-oriented supply chains. These facts can help explain the commercial background of a transaction, but a legal claim must still be assessed on its own contract, evidence and applicable law.

Next Steps for a Suzhou Supplier Dispute

Before escalating a dispute, an overseas buyer should identify the correct legal entity, review the contract and preserve the available evidence. Depending on the facts, the parties may consider direct negotiation, a formal demand, arbitration, litigation or enforcement.
